Vimy Pharmaceuticals Inc. has closed a C$12.06 million brokered financing and signed a definitive agreement for its proposed reverse takeover of Harmony Acquisitions Corp. (TSXV: MONY.P), advancing the Canadian generic-drug developer toward a public listing.
According to the September 28 announcement, Vimy issued 4,018,821 subscription receipts at C$3 each. The gross proceeds will remain in escrow until the transaction’s release conditions are satisfied.
Each receipt will then convert into one Vimy common share, which will subsequently be exchanged for a share of the resulting public company. The combined company is expected to operate as Vimy Pharmaceuticals Corp., and the trading symbol VIMY has been reserved.
Completion is targeted for late October 2026 but remains subject to TSX Venture Exchange acceptance, Vimy shareholder approval and other customary conditions. If the escrow conditions are not met within the permitted period, the receipts will be canceled and the funds returned to subscribers.
Vimy plans to use the financing for research and development across its generic-pharmaceutical portfolio, including its injectable semaglutide program. Additional proceeds are intended for Canadian manufacturing, preapproval inventory, regulatory and commercialization work, international expansion, the VimyDirect online pharmacy platform and general working capital.
Health Canada’s generic-submissions list shows that Vimy’s semaglutide application was accepted for review in August. The company describes the product as a proposed generic version of Ozempic for type 2 diabetes. Vimy also says it has filed a separate abbreviated submission for a generic version of Wegovy for weight management.
Acceptance for review does not constitute regulatory approval. Vimy would also enter an increasingly competitive market. Health Canada reported in July that it had already approved three generic versions of semaglutide, while additional applications remained under review.
Vimy co-founder and CEO Dave Suchon previously told BNN Bloomberg, “We’re going to be making it here in Canada,” referring to the company’s domestic development and manufacturing strategy.
Following completion of the transaction, approximately 31.52 million resulting-issuer shares are expected to be outstanding. Existing Vimy shareholders would hold approximately 86.19%, financing subscribers approximately 12.75%, and current Harmony shareholders approximately 0.40%, before considering other potentially issuable securities.
Vimy reported no revenue and a net loss of approximately C$1.28 million for the year ended June 30, 2026. It reported approximately C$2.87 million in total assets and C$198,183 in total liabilities.

Sources used include the September 28, 2026 transaction and financing announcement, Harmony’s August 6, 2026 qualifying-transaction announcement, Health Canada’s generic-submissions list, Health Canada’s July 2026 regulatory update and publicly available information from Vimy Pharmaceuticals. The proposed reverse takeover and TSXV listing have not been completed. Closing remains subject to shareholder, exchange and other customary approvals, and there is no assurance that the transaction will close on the proposed terms or schedule. The VIMY trading symbol has been reserved but is not yet active. Funds from the subscription-receipt financing remain subject to escrow-release conditions.
Vimy’s semaglutide products have not received Health Canada approval. Acceptance of a submission for review does not establish safety, efficacy, quality or a favorable regulatory outcome. Health Canada had already approved multiple competing generic semaglutide products by July 2026, creating commercial and pricing competition if Vimy receives approval.
Financial information is reported in Canadian dollars and reflects Vimy’s position for the year ended June 30, 2026. The company reported no revenue and a net loss of approximately C$1.28 million. The C$12.06 million financing figure represents gross proceeds, not cash immediately available for operations.
